Abstract	Choosing the right distributor has evolved into a way for enterprises to gain a competition advantage and avoid risk. We take the distributors as enterprise's customers according to the Obtaining outside Resources Strategy, so assessment of the Distributor potential value is the theoretical basis of choosing the right distributor, and it is the decision reference to integrate many distributors for enterprise too. So we constructed the participatory evaluation system for distributor Selection from the two angles of consumer's demand and enterprise's demand in this paper. Extract two major factors of resource and harmonious value by creating the customer experience efficiency curve, inverse demand function and the relation curve between cost and quality from enterprise's demand angle, establish the demand progressive model for the product or service by the qualitative analysis from consumer's demand angle, extract four major factors of product, service, situation and brand. The evaluation system is constructed by these factors.
