Abstract	The research about industrial networks need attend to the formation of industrial networks under the transition economy, which is not only the process of interaction of inter-organizations, but also the process of interaction between institution, organization and technology, which is the drive of evolution from the large SOEs to industrial networks. Industrial organization of networking, specialization and conglomeration will accelerate the transformation and renewing of old industrial regions. The paper analyzed the path and types of transformation from SOEs to industrial networks, used the method of double cases study, i.e. bearing industry in Wa Fangdian city and bicycle industry in Tian Jin city, which try to beyond the single cases study by classification and comparison. The empirical research tested the hypotheses of the formation of industrial networks in transitional countries or regions and supposed the recommendations for them.
