Abstract	With the rapid changes in information technology, the unstoppable economical globalization and the in-depth development of the network economy, the market competition rules, the uncertainty of running the enterprise, as well as the enterprise traditional antagonism competition have undergone tremendous changes. Under the new economic condition, the enterprises can not simply depend upon their own strength to meet the market needs. They must adopt the cooperation innovation developmental strategy. There is the very strong conjunction nature between the cooperation game theory based on the collective rationality supposition and the enterprise cooperation innovation developmental strategy. More and more scholars interest in the research of cooperative innovation based on the cooperative game theory. This paper constructs a two-stage dynamic duopoly game model of enterprise cooperative innovation based on the existence of technological spillover, analyses equilibrium input, equilibrium output and benefit assignment in the different cooperative innovation degree, and provides the theory basis and the foundation for the enterprise cooperative innovation policy-making.
