| Abstract | Questions concerning the company management’s liability have attracted great interest in recent years. One of the reasons for this interest is that several, muchpublicised financial scandals took place in the 1990s in Sweden as well as in the other Scandinavian countries. Another reason is that the Swedish Companies Act was extensively revised during that period, which process has now been completed in all its essential parts. The amendments made to the Swedish Companies Act involved certain modifications of the obligations of the company’s management. Board members’ and the managing director’s liability was also adjudicated upon by different Scandinavian courts on several occasions during the past ten years. The objective of this paper is to consider certain questions regarding the board of directors’ and the managing director’s liability to the company in the light of the foregoing. |
