| Abstract | This paper is about the liability that managers have towards its company, as well as shareholders and company creditors. It deals with damages caused by acts contrary to Law or company statutes, and for negligent conduct. In this regard, several ways to make that liability effective are reviewed. The different regulatory ordinances are also examined. Briefly, the way in which, having exercised actions against mamangers, the company may disclaim and settle about it, and the opposition that might arise against such agreement. |
