| Abstract | The background for this private policing of suspected economic crime in terms of an internal investigation by fraud examiners is slightly different from most other cases presented in this book, where the organizations themselves initiated investigations. In 2016, one of the minority shareholders, Roger Nymo, in the corporation Oceanteam (OT) requested an investigation in accordance with chapter 5 of the Norwegian Public Limited Liability Companies Act. Bergen District Court ruled in favor of the demand from the minority shareholder. The board at Oceanteam appealed the ruling. Nevertheless, in 2018, Gulating Court of Appeal ruled in accordance with the Bergen District Court ruling (Riisnæs, 2018). Subsequently, lawyer and partner Nicolai Skridshol at the law firm Sands in Norway received an invitation from Bergen District Court to carry out the investigation. The courts stated the mandate for the assignment given to Sands (2019a: 10) in their rulings dated February 20, 2018, and March 23, 2018, respectively: The investigation of Oceanteam ASA shall cover the period between 1 January 2013 and 31 December 2017, comprising the following main parts: Mapping of the facts, including: a) Review and mapping of related transactions and agreements between Oceanteam ASA and Haico Halbesma (CEO), Hessel Halbesma (Chairman of the Board) and members of the Board, and between its related parties and Oceanteam ASA, which are referred to in audit reports, annual accounts and auditor’s communication with the management of Oceanteam ASA. b) Investigations and verification of whether there are further possible related party transactions or agreements other than those mentioned in audit reports, annual accounts, and the auditor’s communication with the management of Oceanteam ASA. c) Mapping of travels and other forms of remuneration to Haico Halbesma (CEO), Hessel Halbesma (Chairman of The Board) and Board Members that Oceanteam ASA has covered. Legal assessments of the facts, including assessment of whether the mapped transactions violate the provisions of the Public Limited Liability Companies Act on related transactions.51 |
