| Description | This chapter addresses best practices for idea providers and recipients. For idea providers, before submitting an idea, it is critical that the recipient knows and acknowledges that the idea is being disclosed in confidence and with an expectation of payment if the idea is used. Claims based on unsolicited or blurted-out ideas are the least likely to find legal protection. For recipients of ideas, to avoid inadvertent liability for unsolicited ideas, many businesses adopt the policy of not accepting unsolicited ideas or implement procedures for segregating unsolicited ideas in a separate part of the business so that independent development of the same idea can be proved, if necessary. When recipients decide to consider an unsolicited idea, the idea provider is usually required to sign an idea submission agreement containing a waiver of rights.
